These Terms of Use govern your access to and use of the website innoedgetech.com (the "Site"), operated by InnoEdge Technologies Limited (RC 1749421 / RC 1571802, Corporate Affairs Commission, Nigeria) and its US affiliate InnoEdge Technologies, Inc. (File 4952253, State of Delaware, USA) — collectively "InnoEdge", "we", or "us". By accessing the Site you agree to these terms. If you do not agree, do not use the Site.

1. Description of the Site

The Site is a marketing and information platform for InnoEdge's technology services, including IT infrastructure, custom software development, security and surveillance systems, smart building automation, energy and power solutions, and collaboration and AV integration. The Site provides informational content and contact forms to initiate commercial enquiries. It is not a platform for consumer transactions; all engagements are governed by separately executed master service agreements or statements of work.

2. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of applicable Nigerian, US, or international law.
• Submit false, misleading, or fraudulent information through any Site form.
• Attempt to probe, scan, or test the vulnerability of the Site or any related system without written authorisation from InnoEdge.
• Use automated tools (bots, scrapers, crawlers) to extract data from the Site in a manner that exceeds normal personal browsing.
• Impersonate InnoEdge, its employees, or any other person or entity.
• Transmit any content that is unlawful, defamatory, obscene, or otherwise objectionable.
• Attempt to reverse-engineer any portion of the Site or its underlying codebase.

3. Intellectual property

All content on the Site — including text, graphics, the design system, the InnoEdge wordmark and logotype, product names, venture names (DapPay, Spendly, ExamPadi, NiVerify, and others), and all software code — is the property of InnoEdge Technologies Limited or its licensors and is protected by Nigerian copyright law, US copyright law, and applicable international conventions.

Partner and third-party brand names and marks appearing on the Site (Microsoft, Hikvision, Huawei, and others) belong to their respective owners and are used here under each owner's trademark or partner-programme policy. Their appearance does not imply any affiliation beyond what InnoEdge has represented on the relevant page.

You may not reproduce, distribute, publicly perform, publicly display, or create derivative works from any Site content without InnoEdge's prior written consent, except as permitted by law (e.g., fair use for personal, non-commercial reference).

4. Disclaimers and warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. InnoEdge does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

5. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, InnoEdge, its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business, arising from your use of the Site, however caused and on any theory of liability, even if InnoEdge has been advised of the possibility of such damages.

InnoEdge's total aggregate liability to you in connection with the Site — for any cause whatsoever — will not exceed NGN 50,000 (or its USD equivalent at the prevailing rate on the date of the claim). These limitations apply even if any limited remedy fails its essential purpose.

7. Governing law and jurisdiction

These terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Disputes arising from use of this Site by parties based in Nigeria, or disputes that do not have a US nexus, will be subject to the non-exclusive jurisdiction of the courts of the Federal Capital Territory (FCT), Abuja, Nigeria.

At InnoEdge's election, where the counterparty is domiciled in the United States or the dispute has a substantial US nexus, InnoEdge may elect that the dispute be governed by the laws of the State of Delaware, USA, and resolved in the courts of New Castle County, Delaware.

8. Changes to these terms

We may update these terms at any time. Updates take effect from the date the revised terms are posted to this page. The "Last updated" date at the top of this page indicates when the terms were most recently revised. Your continued use of the Site after any change constitutes acceptance of the updated terms. Material changes (e.g., changes to the dispute-resolution clause) will be flagged in a prominent notice on the Site for a reasonable period.

9. Contractual engagements

Nothing on this Site creates a binding contract between you and InnoEdge. Engagements for services are governed solely by signed master service agreements (MSAs), statements of work (SOWs), or purchase orders issued by InnoEdge. In the event of any conflict between these Terms of Use and a signed MSA or SOW, the MSA or SOW takes precedence.
